By accessing this website, obtaining access to wholesale pricing, placing an order, or purchasing products from Murp Studios Inc., you acknowledge that you are acting on behalf of a business entity and agree to be bound by these Wholesale Terms of Service, our Shipping, Freight & Tax Policy, Privacy Policy, and Intellectual Property & Brand Protection Policy.

1. WHOLESALE ACCESS AND ELIGIBILITY

Murp Studios Inc. operates as a business-to-business wholesale supplier. Products offered through this website are intended exclusively for purchase by legitimate businesses, retailers, commercial decorators, hospitality operators, event companies, interior designers, and other approved commercial entities.

Access to wholesale pricing or password-protected content serves as an invitation to apply and does not constitute final approval as a wholesale customer. Murp Studios reserves the right to verify business credentials and manage, suspend, or update wholesale access or orders to ensure brand and inventory integrity across our retail network.

By placing an order, you represent and warrant that:

  • You are purchasing on behalf of a legitimate business or commercial entity.
  • You are authorized to bind that business to these Terms.
  • All business information submitted is accurate and complete.
  • You will provide any business registration, resale certificate, tax identification number, or other verification requested by Murp Studios.

2. WHOLESALE PASSWORDS AND CONFIDENTIAL PRICING

Wholesale pricing, password-protected content, catalogs, lookbooks, business materials, commercial terms, and related information are confidential business assets belonging exclusively to Murp Studios Inc.

To protect the market value of our collections for all authorized stockists, customers agree not to share, distribute, publish, disclose, or otherwise provide wholesale pricing information, passwords, or proprietary business materials to any third party without the prior written consent of Murp Studios.

3. ORDER ACCEPTANCE

Submission of an order through the website does not constitute immediate acceptance by Murp Studios. All orders remain subject to review to ensure production availability. Murp Studios reserves the right to manage order volumes, limit quantities, require additional business verification, correct typographical pricing errors, or adjust production allocations prior to warehouse dispatch.

4. PRICING AND PAYMENT TERMS

Unless otherwise agreed in writing, first-time wholesale customers are required to provide a 50% non-refundable deposit to secure production capacity and reserve inventory slots. The remaining balance, together with applicable shipping, freight, duties, and taxes, is due prior to shipment.

Approved long-term partners may be offered established invoice terms at the sole discretion of Murp Studios. To ensure fair production distribution for our entire brand community, open invoices must be settled within their established windows. Delayed payments may result in the adjustment of future purchasing privileges or order holds.

5. SHIPPING AND DELIVERY

Shipping, freight, customs, duties, taxes, and delivery matters are governed by the Murp Studios Shipping, Freight & Tax Policy, which is incorporated into these Terms by reference.

Estimated shipping dates are provided for planning purposes only. Murp Studios coordinates closely with our freight network but shall not be held liable for delivery delays arising from third-party transportation schedules, customs processing, supply chain interruptions, or other global conditions beyond our reasonable control.

6. HANDCRAFTED DESIGN VARIATIONS

Many Murp Studios products are handcrafted, artisan-produced, hand-painted, or individually assembled. Natural variations in color, finish, texture, dimensions, fabrics, or trims are inherent characteristics of original applied artwork and are not considered manufacturing defects. Product photography, catalogs, and marketing materials are intended as representative examples of our design concepts.

7. CANCELLATIONS

Because production allocations and specialized material sourcing begin immediately following order acceptance, deposits remain non-refundable. Orders may not be cancelled or modified once production, custom textile matching, packing, or shipment preparation has commenced. All custom, personalized, special-order, or made-to-order design capsules are strictly final, non-cancellable, and non-refundable.

8. RETURNS, DAMAGES, AND CLAIMS

To maintain strict product traceability, wholesale sales are final. Product returns are accepted exclusively for items that experience transit damage or verified structural manufacturing discrepancies.

Stockists must inspect all shipments immediately upon arrival. Claims must be submitted to our support team within five (5) business days of delivery and must include the order number, a clear description of the issue, and photographic documentation of both the affected item and its original transit packaging. Murp Studios will review each claim promptly to arrange for an appropriate replacement, repair, store credit, or refund. Returns cannot be accommodated due to seasonal demand shifts, overstock, or general customer preference.

9. INTELLECTUAL PROPERTY PROTECTION

All product designs, original sculptures, character designs, marketing lookbooks, product configurations, trade dress, and brand installations remain the exclusive intellectual property of Murp Studios Inc.

Additional guidelines regarding permitted trade presentations are set forth in our Intellectual Property & Brand Protection Policy, which is incorporated into these Terms by reference.

10. LIMITATION OF LIABILITY AND GOVERNING LAW

To the fullest extent permitted by law, Murp Studios Inc. shall not be liable for any indirect, incidental, or consequential commercial damages arising out of the handling or display of our products.

These Terms and any commercial clarity regarding Murp Studios Inc. shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada. Any formal legal proceedings arising out of these terms shall be addressed exclusively in the courts located in Vancouver, British Columbia, Canada.
